These Terms of Service ("Terms") are an agreement between you and Cuvee, LLC, a Delaware limited liability company ("Cuvee", "we", "us"). They apply to the Cuvee apps (the "App"), our websites and the online services the App relies on (together, the "Service"). By installing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What Cuvee is
Cuvee is software for organising and playing media that you have the right to access. Cuvee does not provide, host, sell or license any films, TV shows or other content, and the App does not come with any content sources. You choose the sources the App connects to.
2. Who can use Cuvee
You must be at least 13 years old, or the minimum age required in your country, to use the Service. To buy a licence you must be old enough to enter into a binding contract where you live, or have your parent's or guardian's permission.
3. Your content and your responsibility
You are responsible for the media you access with Cuvee and for the sources you add. You agree to use the Service only with media you have the right to access, and not to use it to infringe anyone's rights, to circumvent technical measures that protect content, or to break the law or the terms of any service you connect to, such as a media server, cloud drive or IPTV provider.
4. Your licence to use the App
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to install and use the App on devices you own or control, and — for paid features — on up to the number of devices your plan includes. You may not: copy, sell, rent or redistribute the App except as these Terms or the law allow; reverse engineer or decompile it, except to the extent the law or the licence of an open-source component included in it permits; work around licence checks or feature limits; or share, resell or publish licence codes.
The App includes open-source components that are licensed to you under their own licences, which are listed on our Licences page. Nothing in these Terms limits your rights under those licences.
If you obtained the App from the Apple App Store, Apple's Licensed Application End User License Agreement also applies to your use of that copy of the App, and governs where it conflicts with these Terms.
5. Free features, paid licences and trials
Some features of Cuvee are free; others require a paid licence. The Help centre describes which. We may add, change or remove features over time.
A licence is activated on your devices with a licence code and is tied to them. The number of devices it covers depends on your plan. Licence codes are for your own use; if you need to move a licence to different devices, contact us. We may offer free trials; a trial ends at the end of its stated period and is limited to one per device.
6. Purchases, renewals and cancellation
Prices, and any taxes that apply, are shown before you pay. Purchases made from us are processed by our payment processor, Stripe; purchases made in the App Store are processed by Apple under Apple's terms.
If your plan renews automatically, you authorise us and our payment processor to charge the then-current price at each renewal until you cancel. You can cancel at any time; cancellation stops future renewals, and your licence remains active until the end of the period you have paid for. We will tell you about a price change before it applies to a renewal. A licence for a fixed term expires at the end of that term unless renewed. Free features keep working after a paid licence ends.
7. Refund policy
If you are not happy with a purchase made from us, you can ask for a full refund within 14 days of the date you were charged, for any reason. Email support@cuvee.io from the address you used for the purchase, or include your licence code or order details. We refund to the original payment method, and the licence is deactivated once the refund is issued. After the 14-day period, payments are non-refundable except where the law requires otherwise.
Purchases made through the Apple App Store are refunded by Apple under its own policies; you can request one at reportaproblem.apple.com.
Nothing in this policy limits rights you have under consumer protection laws that apply to you.
8. Third-party services
The Service works with third-party services such as media servers, cloud drives, IPTV providers and metadata databases. We do not control them and are not responsible for them; your use of them is subject to their own terms. Cuvee is not affiliated with, or endorsed by, the providers of those services unless we say so.
9. Our intellectual property
The App, our websites, and the Cuvee name and logo belong to Cuvee, LLC or its licensors and are protected by law. These Terms do not give you any right to use our trademarks; see Trademarks. If you send us suggestions or feedback, we may use them without obligation to you.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or end your access to the Service, or deactivate a licence, if you seriously or repeatedly breach these Terms, if we must do so by law, or to protect the Service or other users. Where reasonable, we will tell you first. Sections 3, 4 (restrictions), 9, 11, 12, 13 and 14 survive termination.
11. Disclaimer
TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT IT WILL PLAY EVERY FILE OR WORK WITH EVERY SOURCE, OR THAT THIRD-PARTY SERVICES WILL REMAIN AVAILABLE.
12. Limitation of liability
TO THE EXTENT PERMITTED BY LAW, CUVEE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow these exclusions or limits, so they may not fully apply to you; nothing in these Terms excludes liability that cannot be excluded by law.
13. Indemnity
To the extent permitted by law, you agree to indemnify Cuvee against claims by third parties arising from media you access with the Service or from your breach of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and you and Cuvee consent to their jurisdiction. If you are a consumer living outside the United States, you keep the protection of the mandatory laws of your country of residence and may also bring proceedings in its courts.
15. Changes to these Terms
We may update these Terms. We will change the date at the top and, for significant changes, give notice on this site or in the App before they take effect. If you keep using the Service after changes take effect, the updated Terms apply.
